General Terms and Conditions (GTC) of the European International Club

1. Scope and Reference to Online Terms
1.1 These General Terms and Conditions (GTC) govern membership in the European International Club (hereinafter “Club”) as well as all associated rights and obligations.
1.2 In addition to these GTC, the separate Terms of Use and GTC of the Club’s online platform shall apply. For all matters relating to the digital use of services, the online terms shall take precedence.
1.3 The contractual relationship is entered into with World Interconnector AG, which operates the European International Club and is based in Switzerland.

2. Membership and Prerequisites
2.1 Membership in the Club is fee-based and is available exclusively to adults. An individual is considered an adult if, according to the applicable laws of their country of origin (typically from the age of 18), they are legally recognized as such.
2.2 Membership is personal and non-transferable, unless otherwise provided for in corporate memberships with designated user quotas.
2.3 The Club reserves the right to reject membership applications or terminate existing memberships in the event of violations of these GTC or Club policies.

3. Membership Models, Prices, and Payment Terms
3.1 The current membership fees are based on the price information valid at the time of registration, as stated in the membership application. Detailed pricing structures are provided exclusively upon request.
3.2 The statutory VAT rates apply in addition to the membership fees.
3.3 Unless otherwise agreed in writing, invoices issued for payment by invoice are due within 14 days. In the case of monthly billing, the higher annual price (as stated) is calculated proportionally.
3.4 Certain payment methods may be excluded at the provider’s discretion. Under no circumstances shall the Club assume the costs of any financial transaction.
3.5 If direct debit is offered and chosen by a member, the member grants the Club a SEPA Basic Mandate. Should a direct debit payment be reversed due to insufficient funds or incorrect bank details, the member shall bear the resulting costs.
3.6 In the event that a member defaults on payment, the Club reserves the right to charge default fees and to suspend service provision until full payment is received, without terminating the membership or the obligation to pay fees.
3.7 The Club further reserves the right to offer different fee models for various booking times, usage periods, and scopes of service.

4. Contract Duration and Termination
4.1 Membership is typically concluded for a period of 12 months.
4.2 Termination of membership must be submitted in writing (by letter or email) at least three months before the end of the current membership period.
4.3 If termination is not submitted within the required period, the contract automatically renews for an additional year.
4.4 Upgrading to a higher membership category is possible at any time; downgrading shall occur without any proportional refund.

5. Club Services
5.1 Membership grants access to the core functions of the Club, including:
 - A directory with personalized spaces
 - Blog publishing (including the ability to embed images)
 - Participation in online events and, where applicable, physical Club events
 - Use of messaging, an activity feed (unlimited posting, editing, and commenting, including the upload of images and documents)
 - Access to the international forum (with country-specific and topic-specific sections)
5.2 Optional add-on services, such as the Family Companion Add-On, may be subscribed to. This add-on provides accompanying family members (e.g., spouses or partners) with limited access to lifestyle and social Club events, without the full business networking functionality.

6. Relocation of Company Headquarters and Contract Transfer
6.1 The Club reserves the right to relocate its headquarters to another country or location.
6.2 Likewise, the Club reserves the right to transfer the existing contractual relationship to another legal entity or company. Members will be informed of such changes in a timely manner.

7. Code of Conduct
7.1 All members are required to behave respectfully, fairly, and professionally at all times.
7.2 Members are expected to comply with applicable laws as well as the standards of good conduct and manners consistent with the exclusive and cosmopolitan character of the Club.
7.3 Discrimination, harassment, or any form of inappropriate behavior will not be tolerated and may result in expulsion from the Club.
7.4 Members agree to treat confidential information and data of other members with strict confidentiality.

8. Disclaimer of Liability
8.1 The Club shall not be liable for any economic, financial, or business decisions made based on the Club’s services or networking opportunities, except in cases of gross negligence or intent.
8.2 Liability for indirect damages, consequential damages, or loss of profit is excluded.
8.3 Participation in Club events is at the member’s own risk.

9. Data Protection
9.1 The processing of personal data is carried out in accordance with applicable data protection laws.
9.2 Further details can be found in the Club’s Privacy Policy as well as in the separate Terms of Use of the online platform.

10. Right of Withdrawal
10.1 The right of withdrawal does not apply when you act primarily in the exercise of your commercial or independent professional activity, and you are therefore considered an entrepreneur.
10.2 Private members who are not engaged in commercial or freelance professional activities are subject to the statutory right of withdrawal.

11. Saving Clause
Should any provision of these GTC be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, a provision shall be deemed agreed upon that most closely reflects the economic purpose of the invalid provision.

12. Final Provisions, Headquarters Relocation, and Jurisdiction
12.1 The law of the country in which the European International Club is headquartered shall apply (currently Switzerland, subject to change in accordance with Section 6).
12.2 The Club reserves the right to relocate its headquarters to another country or location and to transfer the contractual relationship to another legal entity or company. Members will be informed of such changes in a timely manner.
12.3 The place of jurisdiction for all disputes arising from or in connection with the membership is the current headquarters of the Club, unless mandatory legal provisions state otherwise.
